TERMS AND CONDITIONS FOR USE OF RESUSREADY LOGO

TRADE MARK LICENCE

1. Introduction

1.1 These terms and conditions (“T&Cs”) apply to use of the following trade mark:

ResusReady logo, UK trade mark number UK00004072296 (as shown in the Schedule) (the “Mark”).

1.2 In these T&Cs:

1.2.1  “We”, “us”, “our” and “RCUK” refer to Resuscitation Council (UK), a registered charity in England and Wales (charity number 1168914).

1.2.2  “You”, “your” and “yours” refer to any organisation or individual using, or wishing to use, the Mark.

1.3 RCUK owns the Mark. RCUK grants a licence to organisations and individuals to use the Mark in accordance with these T&Cs.

2. Licence to use the Mark

2.1 You are permitted to use the Mark only if you meet the criteria set out in, and comply with, these T&Cs. If you do not, you are not permitted to use the Mark.

2.2 Any use of the Mark otherwise than in accordance with these T&Cs is unauthorised and RCUK may take action against you.

2.3 Many organisations and individuals may be entitled to use the Mark at any one time. There is no limit on the number of users of the Mark.

2.4 Any goodwill derived from your use of the Mark shall accrue to RCUK.

2.5 RCUK does not grant you any rights in relation to the Mark other than those set out in these T&Cs.

3. Criteria for use of the Mark

3.1 In order to use the Mark, you must meet the criteria set out in this section 3. You must not use the Mark if you do not meet these criteria.

3.2 You must apply for the right to use the Mark via RCUK’s online form and receive confirmation from RCUK that your submission has been accepted.

3.3 RCUK will request confirmation from you on an annual basis that you meet the criteria for using the Mark set out in these T&Cs, and you must provide this.

3.4 Organisations:

If you are an organisation, then in order to use the Mark you must meet the following criteria.

3.4.1 In the last 12 months:

(a) you must have facilitated access for your employees to basic CPR training. You can satisfy this criteria through providing such training internally, or by signposting to external training (e.g. the RCUK Lifesaver course) and allowing employees to undertake such training during working hours; and

(b) some employees must have undertaken such training. We recommend you keep a record of this, e.g. asking employees to record their attendance.

3.4.2 If you have a defibrillator(s) located at your offices/premises, it must be registered on The Circuit.

3.5 Individuals:

If you are an individual, then in order to use the Mark you must have completed basic CPR training within the last 12 months (e.g. the RCUK Lifesaver course).

3.6 We may from time to time ask you to provide evidence to demonstrate that you have met the criteria for using the Mark. If you cannot provide this, then we may end your use of the Mark under paragraph 5.

4 Conditions for use of the Mark

4.1 The Mark may be displayed only as it appears in the Schedule. You may display the Mark in varying sizes, but you must not change the Mark in any other way.

4.2 Whenever you display the Mark, this must be accompanied by the following phrase: “The ResusReady logo is the registered trade mark of Resuscitation Council (UK).”

4.3 You must comply with any guidelines relating to use of the Mark available on RCUK’s website from time to time.

4.4 You may display the Mark in any of the following locations:

4.4.1 on your website;

4.4.2 on your social media channels;

4.4.3 at your premises;

4.4.4 in your marketing materials, e.g. newsletters, email updates;

4.4.5 in or on your equipment; and/or

4.4.6 in or on your vehicles.

4.5 You must comply with any and all laws applicable to your use of the Mark.

4.6 You must only use the Mark to indicate that you have met the criteria set out in section 3 and you must not use the Mark for advertising or other commercial purposes.

4.7 You must not use the Mark in any way that is offensive or misleading, or risks harming the reputation of RCUK.

4.8 You must comply with any instructions from RCUK in connection with your use of the Mark.

5. Ending use of the Mark

5.1 If any of the following occur, you must stop using the Mark immediately and any rights granted to you under these T&Cs will terminate:

5.1.1 you no longer meet the criteria set out in section 3 (Criteria for use of the Mark) of these T&Cs; or

5.1.2 you are not complying with the conditions set out in section 4 (Conditions for use of the Mark) of these T&Cs; or

5.1.3 you are otherwise in breach of these T&Cs; or

5.1.4 RCUK contacts you (by letter, email or telephone) and requests for any reason that you stop using the Mark; or

5.1.5 you are an organisation and you cease trading, or cease operating, or become insolvent, or are acquired, merge or cease to exist; or

5.1.6 you are an individual and a bankruptcy order is made against you.

5.2 For the avoidance of doubt, RCUK has the right at any time to terminate the licence granted under these T&Cs for any reason.

6. General provisions

6.1 You must inform us if you become aware of any unauthorised use of the Mark.

6.2 Save as permitted by these T&Cs, you must not use the Mark (or any confusingly similar mark) for any reason.

6.3 You must not, anywhere in the world:

6.3.1 take any steps to register the Mark, or any similar mark, as a trade mark; or

6.3.2 assert any copyright, trade mark or passing off rights in relation to the Mark, or any similar mark (other than the rights granted by these T&Cs).

6.4 RCUK does not give any representation or assurance that your use of the Mark will not infringe the rights of others.

6.5 We may vary these T&Cs from time to time. If we do, we will notify you of this via our website, or via email, or via letter.

6.6 If you use the Mark otherwise than in accordance with these T&Cs and this causes us loss, you are obliged to reimburse us for that loss.

6.7 You must not permit anyone else to use the Mark on your behalf, and you cannot transfer your right to use the Mark to anyone else.

6.8 These T&Cs are governed by the laws of England and Wales.

6.9 The courts of England and Wales have exclusive jurisdiction to settle any disputes or claims arising out of or in connection with these T&Cs.
